Terms of Use

1. Acceptance

By accessing or using our website or application, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the services.

2. Website and application usage

You may use our website and Performance for lawful purposes in accordance with these Terms. Features may change over time. Some functionality may require an account, a supported device/browser, or an active subscription.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Provide accurate information and notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or present security or abuse risks.

4. Subscriptions and web billing

Paid plans for Performance may be offered through web billing managed via Stripe or similar providers. Fees, plan features, renewal terms, and cancellation options will be presented at purchase or in-product. Unless required by law or expressly stated otherwise, fees are non-refundable. You are responsible for applicable taxes.

5. User content

You retain ownership of content you submit to Performance or our forms (such as life areas, routines, tasks, calendar data, chats, attachments, LOI details, and applications). You grant Holistic Intelligence a worldwide, non-exclusive license to host, process, transmit, and display that content solely as needed to operate, secure, and improve the services and to respond to your requests. You represent that you have the rights necessary to submit the content and that it does not violate law or third-party rights.

6. AI-generated output limitations

AI features may generate suggestions, plans, summaries, or other outputs. Outputs can be incorrect, incomplete, or inappropriate for your circumstances. You remain responsible for reviewing outputs and for decisions and actions you take. Holistic Intelligence does not guarantee that AI outputs will achieve any particular result.

7. Acceptable use

You agree not to:

• Violate applicable laws or regulations
• Infringe intellectual property or privacy rights
• Attempt unauthorized access to systems, accounts, or data
• Interfere with or disrupt the services or their infrastructure
• Upload malware or harmful code
• Use the services to spam, harass, or engage in abuse
• Reverse engineer or scrape the services except where permitted by law
• Use the services to develop competing models by systematically extracting outputs in violation of these Terms

8. Intellectual property

The services, including software, design, trademarks, logos, and documentation, are owned by Holistic Intelligence or its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9. Availability and changes

We may modify, suspend, or discontinue features or the services in whole or in part, with or without notice, subject to applicable law and any contractual commitments we separately enter into. We do not guarantee uninterrupted or error-free operation.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLISTIC INTELLIGENCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLISTIC INTELLIGENCE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY AMOUNTS.

12. Termination

You may stop using the services at any time and may request account deletion as described in the Privacy Policy and Support page. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the services. Provisions that by their nature should survive will survive termination.

13. Governing law

These Terms are governed by the laws of the State of New York and, where applicable to corporate matters, Delaware law, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction apply. Courts located in New York shall have exclusive jurisdiction, subject to applicable law. This clause is a placeholder pending final corporate counsel review for Holistic Intelligence, Inc..
